SEZIONE A – VERSIONE ITALIANA

TERMINI E CONDIZIONI D’USO
Applicazione mobile e sito web YeSpend
Ultima modifica: 05/10/2026

Articolo 1 – Definizioni e accettazione dei Termini

1.6. Il Servizio è fornito da Center Industry di Daniel Filippone, P.IVA: 02433240682, con sede in Via Bonifica 2, 65012 Cepagatti (PE), Italia, PEC: filippone.daniel@pec.it (“Titolare”, “Noi”, “Nostro”).

(a) “Utente”: qualunque persona fisica che accede o utilizza l’App o il Sito, sia in modalità ospite sia previa registrazione di un account; le disposizioni dei presenti Termini si applicano a ogni Utente e, ove una clausola si riferisca specificamente all’account o a funzionalità che richiedono la registrazione, essa si applica al solo Utente registrato;
(b) “Utente registrato”: l’Utente che ha creato un account ai sensi dell’Articolo 2, accettando integralmente i presenti Termini e l’Informativa sulla Privacy;
(c) “Utente ospite” (o “ospite”): l’Utente che accede all’App in modalità ospite, senza aver creato un account;
(d) “modalità ospite”: la modalità di utilizzo dell’App che consente l’accesso alle funzionalità di comparazione dei prezzi e di aggregazione di coupon e sconti senza registrazione di un account, nei limiti di cui all’Articolo 2-bis;
(e) “Sessione senza account”: la sessione tecnica priva di account associata all’uso in modalità ospite, come definita all’Articolo 2-bis, comma 2-bis.2, e descritta nell’Informativa sulla Privacy.

Articolo 2 – Registrazione dell’account, uso senza registrazione e responsabilità

Articolo 2-bis – Modalità ospite e uso senza registrazione

2-bis.1.

2-bis.4.

2-bis.5.

Articolo 5 – Prezzi, pagamenti e fatturazione

a) Abbonamento mensile: EUR 3,99 al mese;
b) Abbonamento annuale: EUR 29,99 all’anno.

Articolo 6 – Rinnovo automatico, recesso e cancellazione

Articolo 8 – Dati e contenuti dell’Utente

Articolo 9 – Comparazione prezzi, coupon e disclaimer

Articolo 10 – Link affiliati e commissioni

Articolo 11 – Connessione bancaria e disclaimer finanziario

a) morte o lesioni personali, ovvero danni alla persona, derivanti da un fatto a esso imputabile;
b) dolo o colpa grave;
c) inadempimento di obblighi essenziali e caratterizzanti del contratto;
d) danni cagionati a seguito di violazione della normativa in materia di protezione dei dati personali, ivi compreso il danno risarcibile ai sensi dell’art. 82 del GDPR;

a) il Servizio è fornito “così com’è” (“as is”) e “come disponibile” (“as available”), senza garanzie ulteriori, esplicite o implicite, rispetto a quanto previsto dalla legge applicabile;
b) il Titolare non garantisce che il Servizio sia ininterrotto, privo di errori, sicuro o esente da virus o altri componenti dannosi;
c) il Titolare non risponde di danni indiretti, incidentali, speciali, consequenziali o punitivi, di perdite di dati, profitti o opportunità, di danni derivanti dall’affidamento sulle informazioni fornite dall’App, dall’interruzione o dal malfunzionamento del Servizio, ovvero causati da terze parti (venditori, reti di affiliazione, istituti bancari, fornitori), per fatti non imputabili al Titolare;

Articolo 14 – Usi vietati

14.1. L’Utente si impegna a non:
a) Utilizzare l’App per scopi illegali, fraudolenti o non autorizzati;
b) Effettuare scraping, crawling o estrazione automatizzata di dati dall’App;
c) Decompilare, disassemblare, sottoporre a reverse engineering o tentare di ottenere il codice sorgente dell’App, salvo nei limiti inderogabilmente consentiti dalla legge;
d) Modificare, adattare, tradurre o creare opere derivate basate sull’App;
e) Rimuovere, alterare o oscurare avvisi di proprietà intellettuale presenti nell’App;
f) Utilizzare bot, script automatizzati o mezzi automatici per interagire con l’App;
g) Tentare di accedere senza autorizzazione a sistemi, server o reti connessi all’App;
h) Interferire con il funzionamento dell’App o sovraccaricare l’infrastruttura;
i) Rivendere, sublicenziare o redistribuire l’accesso all’App o ai suoi contenuti;
j) Impersonare altri utenti o fornire informazioni false nell’account;

Articolo 15 – Sospensione e cessazione dell’account

a) Violazione dei presenti Termini;
b) Attività fraudolente o gravemente sospette, intese come condotte che, sulla base di indizi concreti e oggettivi, fanno ragionevolmente ritenere in corso un illecito o un abuso (a titolo esemplificativo: tentativi di frode, accessi non autorizzati, creazione di account multipli, manipolazione dei meccanismi promozionali);
c) Richiesta o ordine da parte di autorità competenti, ovvero obbligo di legge;
d) Inattività prolungata dell’account (superiore a 24 mesi), previo avviso.

Articolo 16 – Cancellazione dell’account e diritti GDPR

a) Tramite la funzione dedicata nelle impostazioni dell’App;

16.5. L’Utente può esercitare in qualsiasi momento tutti i diritti previsti dagli artt.

Articolo 18 – Lingua, comunicazioni e clausole relative agli store

18.1. Lingua.

21.2. I presenti Termini, unitamente all’Informativa sulla Privacy, costituiscono l’accordo integrale tra l’Utente e il Titolare in relazione all’utilizzo del Servizio.

  • Articolo 2 (Registrazione dell’account e responsabilità), commi 2.4 e 2.5, in tema di responsabilità per le credenziali e divieto di account multipli;
  • Articolo 3, comma 3.3, e Articolo 4, comma 4.3, in tema di modifica, sospensione o interruzione delle funzionalità del Servizio;
  • Articolo 5, comma 5.5, in tema di modifica dei prezzi;
  • Articolo 6, commi 6.3 e 6.6, in tema di mancato rimborso del periodo in corso e di perdita del diritto di recesso per il servizio digitale eseguito immediatamente con consenso espresso;
  • Articolo 7, comma 7.3, in tema di licenza limitata e revocabile d’uso;
  • Articolo 8, comma 8.4, in tema di responsabilità esclusiva dell’Utente per l’accuratezza dei dati inseriti e di mancata verifica o garanzia da parte del Titolare;
  • Articolo 9, commi 9.2, 9.5 e 9.6, in tema di esclusioni di garanzia e di responsabilità relative a comparazione prezzi e coupon;
  • Articolo 11, commi 11.3, 11.4 e 11.5, in tema di disclaimer finanziario (natura non finanziaria del Servizio e modalità di sola lettura della connessione bancaria), di esclusione del valore di consulenza finanziaria, fiscale, legale o di investimento delle informazioni fornite e di responsabilità esclusiva dell’Utente per le proprie decisioni finanziarie;
  • Articolo 12, commi 12.2 e 12.3, in tema di trattamento di identificativi a fini pubblicitari e di subordinazione dell’erogazione di annunci personalizzati al consenso dell’Utente (per gli aspetti eventualmente onerosi a carico dell’Utente del piano Free);

  • Articolo 19 (Legge applicabile e foro competente), comma 19.4 (foro di Pescara per i soli Utenti non consumatori);

                   SECTION B - ENGLISH VERSION

TERMS AND CONDITIONS OF USE
YeSpend Mobile Application and Website
Last updated: 05/10/2026

Article 1 – Definitions and acceptance of the Terms

1.1. These Terms and Conditions of Use (“Terms”) govern access to and use of the YeSpend mobile application (“App”, “Service”), available on the Apple App Store and Google Play Store, and of the website yespendapp.com (“Site”).

1.2. The User acknowledges that these Terms constitute a binding agreement between the User and the Provider, pursuant to Articles 1321 et seq. of the Italian Civil Code and to Legislative Decree no. 206/2005 (Consumer Code).

1.3. By registering, accessing or using the App, the User declares to have read, understood and fully accepted these Terms. Use in guest mode, pursuant to Article 2-bis, is permitted even before the active acceptance of these Terms; in that case, the full acceptance of the Terms and of the Privacy Policy is collected at the time of registration, as provided for in Articles 2-bis and 22.

1.4. “Consumer User” means the natural person acting for purposes unrelated to any entrepreneurial, commercial, craft or professional activity carried out, pursuant to Article 3 of the Consumer Code. “Non-consumer User” (or “Professional User”, “B2B”) means the User acting within the scope of their own entrepreneurial or professional activity. The clauses expressly reserved for non-consumers apply exclusively to the latter; with respect to the Consumer User, the mandatory rights provided by the Consumer Code, by Regulation (EU) 2016/679 (GDPR) and by the remaining applicable legislation are always reserved.

1.5. Minimum age and capacity to contract. Use of the App is reserved for persons who have reached at least 16 years of age. Users aged between 16 and 18 may use only the free features and declare that they have obtained the consent of their parent or legal guardian; where required by applicable law, the Provider may adopt reasonable means of verifying such consent. The subscription to paid plans and the conclusion of contracts for consideration through the App are reserved for Users of legal age (at least 18 years) or, for minors, are subject to the verifiable consent of the parent or legal guardian. The age rating indicated on the distribution stores is aligned with the content and features of the App. The minimum age requirement also applies to use in guest mode pursuant to Article 2-bis.

1.6. The Service is provided by Center Industry di Daniel Filippone, VAT no.: 02433240682, with registered office at Via Bonifica 2, 65012 Cepagatti (PE), Italy, certified email (PEC): filippone.daniel@pec.it (“Provider”, “We”, “Our”).

1.7. These Terms apply together with the Privacy Policy, available at https://yespendapp.com/privacy-policy/ and accessible at any time from within the App in the “Settings > Privacy” section, as well as during registration through a dedicated link. In the event of conflict on aspects relating to the processing of personal data, the provisions of the Privacy Policy and of the data protection legislation shall prevail.

1.8. For the purposes of these Terms, the following definitions also apply:
(a) “User”: any natural person who accesses or uses the App or the Site, whether in guest mode or after registering an account; the provisions of these Terms apply to every User and, where a clause refers specifically to the account or to features requiring registration, it applies only to the Registered User;
(b) “Registered User”: the User who has created an account pursuant to Article 2, fully accepting these Terms and the Privacy Policy;
(c) “Guest User” (or “guest”): the User who accesses the App in guest mode, without having created an account;
(d) “guest mode”: the mode of use of the App that allows access to the price comparison and coupon and discount aggregation features without the registration of an account, within the limits set out in Article 2-bis;
(e) “Accountless Session”: the technical session without an account associated with use in guest mode, as defined in Article 2-bis, paragraph 2-bis.2, and described in the Privacy Policy.

Article 2 – Account registration, use without registration and responsibility

2.1. The App may also be used in guest mode, without registration, for the freely accessible features of public value, and in particular for price comparison between online stores and for the aggregation of coupons and discounts, as provided for in Article 2-bis. The creation of an account — by providing accurate, complete and up-to-date information, including a valid email address and a secure password — is necessary in order to access the features of personal value that entail the saving or processing of the User’s personal data, including the recording of income and expenses and the “add to expenses” function, the creation and management of budgets and savings goals, the invitation of friends and the referral program, the subscription to the Pro plan and the sending of feedback. Registration is required, in any case, at the first attempt to save personal data, as provided for in Article 2-bis.

2.2. The User is solely responsible for the confidentiality of their access credentials and for any activity carried out through their account.

2.3. The User undertakes to immediately notify the Provider at the address support@yespend.com in the event of unauthorized access to their account or of any security breach.

2.4. The Provider is not liable for losses or damages arising from the failure to protect the account credentials attributable to the User. The Provider’s liability for matters attributable to it remains unaffected and, in any case, in cases of willful misconduct or gross negligence, as well as the mandatory consumer rights and the protections provided by the GDPR.

2.5. Only one account per natural person is permitted. The creation of multiple accounts may result in their suspension or deletion, as provided for in Article 15.

Article 2-bis – Guest mode and use without registration

2-bis.1. (Free use of the public value) The User may use the App in guest mode, without creating an account and without registering, to access the features that constitute the public value of the Service, and in particular the price comparison between online stores and the aggregation of coupons and discounts referred to in Article 9. Such features are freely usable within the limits, under the conditions and with the disclaimers provided for by these Terms, and in particular by Articles 9, 10 and 12.

2-bis.2. (Technical nature of the Accountless Session) Use in guest mode is associated with a technical session without an account (“Accountless Session”), to which may be linked a technical session identifier, an identifier of the device used for security and abuse prevention purposes and the counters necessary for the management of the search quota. Such session is exclusively technical in nature and does not entail the creation of an account; the device identifier linked to it constitutes personal data of a pseudonymous nature pursuant to the GDPR and does not allow, by itself and without additional information, the direct identification of the User. The categories of data processed in guest mode, the relevant purposes, legal bases and retention periods are described in the Privacy Policy, to which reference is made.

2-bis.3. (No saving of personal data before registration) During use in guest mode, no personal data of the User of a financial nature (by way of example, transactions, budgets, savings goals) is stored server-side. A server-side technical control, operating according to the default-deny principle, prevents by default the writing of such data and, in the event of an attempt to save, returns to the User a request for registration. Until registration, no personal data is processed for the purposes connected to the account referred to in Article 2.

2-bis.4. (Time and methods of registration) Registration is required at the User’s first attempt to save personal data, namely upon use of the features of personal value indicated in Article 2, paragraph 2.1 (recording of income and expenses and “add to expenses” function, creation and management of budgets and savings goals, invitation of friends and referral program, subscription to the Pro plan, sending of feedback). At that time, the User is required to create an account in accordance with the procedures set out in Article 2.

2-bis.5. (Continuity and conversion of the session) At the time of registration, the Accountless Session is converted into the User’s account by linking or migrating only the technical identifiers of the session, including the search quota counters, so as to preserve the continuity of the experience. It remains understood that, in accordance with paragraph 2-bis.3, during use in guest mode no User Data of a financial nature is stored server-side. As from registration, the processing of the User Data is governed by Article 8 and by the Privacy Policy.

2-bis.6. (Pre-contractual information and transparency in guest mode) Before and independently of registration, the Provider makes available to the Guest User, in a clear and easily accessible manner within the App, the essential information relating to the features usable in guest mode and, in particular: (a) that YeSpend is not a seller, a reseller, a marketplace or a commercial intermediary, and merely displays publicly available information for comparison purposes (Article 9, paragraph 9.3); (b) that the prices, availability and other product information come from third-party sources and may not be updated in real time (Article 9, paragraph 9.2); (c) that the App contains affiliate links from which the Provider may receive a commission, without any additional cost for the User, with a clear, recognizable and contextual indication of the promotional nature of the link (Article 10); (d) that coupons and discount codes come from third-party sources and are shown for informational purposes, without any guarantee of validity, timeliness or functioning (Article 9, paragraph 9.6); (e) that, in the absence of the Pro plan, the App displays advertisements pursuant to Article 12. This information is provided without prejudice to the pre-contractual information obligations and the prohibition of unfair commercial practices provided for by the Consumer Code (Legislative Decree no. 206/2005) and supplements, for the phase of use in guest mode, the contents of these Terms.

2-bis.7. (Anti-abuse measures and limitation of guest access) The Provider may apply to the Accountless Session abuse prevention measures, including the application of a search quota and limitations based on the device identifier, and may limit, suspend or block access in guest mode in the event of abuse, fraud or circumvention of the usage limits. Such measures are technical and security-related in nature, are based on the Provider’s legitimate interest pursuant to Article 8, paragraph 8.7, and apply to use in guest mode independently of the acceptance of these Terms and regardless of registration. Since this is a session without an account, such limitation does not constitute suspension or termination of the account pursuant to Article 15, which applies exclusively as from registration.

2-bis.8. (Minimum age and minors) Use in guest mode is reserved, in the same way as use after registration, for persons who have reached at least 16 years of age, pursuant to Article 1, paragraph 1.5. In guest mode, the Provider processes exclusively the minimum necessary technical data referred to in paragraph 2-bis.2, without profiling; the features which, for Users aged between 16 and 18, require the consent of the parent or legal guardian pursuant to Article 1 remain in any case subject to registration, upon which such consent is collected in accordance with the procedures provided for therein.

2-bis.9. (Acceptance of the Terms and approval of the clauses at the registration stage) Use in guest mode of the price comparison and coupon aggregation features precedes the active acceptance of these Terms and is based, as regards the technical processing operations connected to the Accountless Session, on the Provider’s legitimate interest as indicated in Article 8 and in the Privacy Policy. The full acceptance of these Terms and of the Privacy Policy, as well as the specific approval of the clauses pursuant to Articles 1341 and 1342 of the Civil Code referred to in Article 22, are collected at the time of registration, coinciding with the first attempt to save personal data, with recording of the date and time. Until that time, none of the onerous or unfair clauses listed in Article 22, paragraph 22.1, produces binding effects with respect to the Guest User and no personal data is processed for the purposes connected to the account.

Article 3 – Description of the Service

3.1. YeSpend is a personal finance management application that offers the following features:

a) Tracking of income and expenses, with manual or automatic entry of transactions;
b) Creation and management of budgets and savings goals;
c) Analyses and statistics on the personal financial situation;
d) Price comparison between online stores (including Amazon, eBay and AliExpress);
e) Aggregation of coupons and discounts;
f) Connection to bank accounts through Open Banking PSD2 (read-only, future feature);
g) Export of personal data.

3.2. The App is available for iOS and Android devices.

3.3. The Provider may modify, update, suspend or discontinue, temporarily or permanently, the features of the Service only where there is a justified reason, as provided for in Article 17, giving the User reasonable prior notice where possible. For the Consumer User, the provisions of the legal guarantee of conformity for digital services (Articles 135-octies et seq. of the Consumer Code) and the right, for Users of the Pro plan, set out in Article 17, paragraph 17.4, in the event of detrimental modifications to the essential characteristics of the Service, remain unaffected.

Article 4 – Subscription plans: Free and Pro

4.1. Free plan (free of charge). The Free plan includes the following features:
a) Up to 3 active budgets;
b) 1 savings goal;
c) Manual entry of transactions;
d) Analyses limited to the current month;
e) Price comparison and coupons;
f) Display of advertisements (through Google AdMob), under the terms of Article 12.

4.2. Pro plan (paid). The Pro plan includes all the features of the Free plan, plus:
a) Unlimited budgets and savings goals;
b) Recurring transactions;
c) Complete analyses and statistics (unlimited history);
d) Data export in CSV and PDF format;
e) Absence of advertisements;
f) Bank synchronization via Open Banking (coming soon).

4.3. The Provider may modify the features included in each plan only where there is a justified reason, by giving notice to the User with at least 30 days’ prior notice and in compliance with the provisions of Article 17. In the event of a detrimental modification to the essential characteristics of the Pro plan, the Pro User has the rights of termination and pro-rata refund set out in Article 17, paragraph 17.4.

Article 4-bis – “Invite a friend” program

4-bis.1. A registered User may invite other people with their personal code. The invited person (“Friend”) enters the code in the App within the number of days from their registration indicated in the App.

4-bis.2. An observation period, whose length is indicated in the App, starts when the code is entered. If during that period both the inviting User and the Friend actively use the App on the minimum number of different days indicated in the App (for example by recording expenses or income, creating budgets or goals, searching in the price comparison or following a product; simply opening the App is not enough), each of them receives free of charge a period of access to the Pro features of the length indicated in the App (“Reward”).

4-bis.3. The Reward does not renew automatically, involves no charge, cannot be converted into money or transferred, starts when it is granted, also for a User who already has a Pro subscription in progress, and adds up with the Rewards of other invites.

4-bis.4. A person who has received a Reward can no longer benefit from any free trial of the Pro plan offered through the stores, to the extent the stores allow it to be excluded.

4-bis.5. Each person can be invited only once and with only one code per device; it is not allowed to use one’s own code, to exchange codes with each other or to use additional accounts of the same person. Each User can obtain the Reward for a maximum number of friends, indicated in the App. The Controller may cancel invites and revoke Rewards obtained in breach of this article or fraudulently.

4-bis.6. The program rules (periods, number of days, maximum number of friends) are indicated in the App and may be changed by the Controller; changes apply to invites started afterwards. The Controller may suspend or end the program at any time, without prejudice to the Rewards already granted. The processing of data related to the program is described in the Privacy Policy.

Article 5 – Prices, payments and billing

5.1. The Pro plan is available at the following prices:
a) Monthly subscription: EUR 3,99 per month;
b) Annual subscription: EUR 29,99 per year.

5.2. All prices are inclusive of VAT where applicable.

5.3. Payments are processed exclusively through the Apple App Store (for iOS devices) or the Google Play Store (for Android devices). The Provider does not directly collect, store or process payment data or credit cards.

5.4. The payment conditions, including the charging methods, the issuance of tax documentation (receipt or invoice) and the application of VAT, are managed and governed by Apple Inc. or Google LLC, depending on the platform used, in accordance with the respective terms of service and store subscription terms. The User can find the purchase and tax documentation directly in their store account. Reference is made, as applicable, to the subscription terms of Apple (Apple Media Services Terms and Conditions) and of Google (Google Play Terms of Service).

5.5. The Provider may modify subscription prices only where there is a justified reason (for example, a change in delivery costs, taxation, infrastructure or supplier costs, indexation to inflation, evolution of features). Price changes do not apply to the subscription period in progress, but take effect at the next renewal. The User is informed with at least 30 days’ prior notice through a notification in the App and/or communication via email and, where applicable, in accordance with the procedures provided by the store. In the event of a price increase, the Pro User may withdraw free of charge before the new price takes effect, as provided for in Article 17, paragraph 17.4; in the absence of consent to the new price, the subscription does not renew at the increased price in accordance with the store’s rules.

Article 6 – Automatic renewal, withdrawal and cancellation

6.1. The Pro subscription renews automatically at the expiry of the chosen period (monthly or annual), unless cancelled by the User.

6.2. To cancel automatic renewal, the User must proceed through the settings of their Apple App Store or Google Play Store account at least 24 hours before the renewal date.

6.3. Without prejudice to the consumer’s right of withdrawal set out in paragraphs 6.5 and 6.6 and to the rights provided for in Articles 4, 5 and 17, the cessation of automatic renewal does not give the right to a refund of the period already paid and in progress. The User retains access to the Pro features until the expiry of the period already paid.

6.4. Refunds managed by the stores are handled exclusively by Apple Inc. or Google LLC, in accordance with their respective policies. To request such a refund, the User contacts Apple or Google support directly. The exercise of the mandatory consumer rights remains unaffected, including the right of withdrawal and the legal guarantee of conformity, which the User may also assert against the Provider pursuant to the applicable legislation.

6.5. Consumer’s right of withdrawal. In accordance with the right of withdrawal provided for in Articles 52 and 59 of the Consumer Code (Legislative Decree no. 206/2005, implementing Directive 2011/83/EU), the Consumer User has the right to withdraw within 14 days of the conclusion of the subscription contract, without having to provide any reason. Since payments and in-app purchases are managed through Apple/Google, the exercise of withdrawal may also take place in accordance with the procedures provided by the purchase platform; the User may in any case contact the Provider at the address support@yespend.com for assistance in exercising the right.

6.6. Loss of the right of withdrawal (supply of digital content and services). As this is a supply of digital content and digital services performed immediately, pursuant to Article 59, paragraph 1, letter o) of the Consumer Code the Consumer User loses the right of withdrawal where performance has begun with their prior express consent and with the acceptance, acknowledged by the User, of the consequent loss of the right of withdrawal once the contract has been fully performed. Before the immediate activation of the Pro features, the Provider provides the User, clearly and at the pre-contractual stage, with the information relating to such consent and to the loss of withdrawal, and collects their express consent through dedicated in-app confirmation. Such pre-contractual information is provided directly by the Provider and is not delegated exclusively to the store. In the absence of express consent and information, the right of withdrawal remains exercisable under the terms of paragraph 6.5.

Article 7 – Intellectual property

7.1. The App, including but not limited to software, source code, design, logos, trademarks, texts, graphics, icons, images, user interfaces and all original content, is the exclusive property of the Provider and is protected by Italian and international laws on intellectual and industrial property.

7.2. The name “YeSpend”, the logo and all related trademarks are the property of the Provider.

7.3. The User is granted a limited, non-exclusive, non-transferable and revocable license to use the App exclusively for personal and non-commercial purposes, in compliance with these Terms.

7.4. No provision of these Terms transfers to the User any intellectual property right in the App or its content.

Article 8 – User data and content

8.1. The User retains full ownership of all data entered into the App, including transactions, budgets, savings goals and any other personal financial information (“User Data”).

8.2. The Provider processes the User Data exclusively for the purposes connected to the provision and improvement of the Service, in accordance with the Privacy Policy (available at https://yespendapp.com/privacy-policy/ and in the “Settings > Privacy” section of the App) and with Regulation (EU) 2016/679 (GDPR).

8.3. The processing of the User Data by the Provider takes place on the basis of the relevant legal bases provided for in Article 6 of the GDPR, in particular the performance of the contract and of pre-contractual measures (Article 6(1)(b)), compliance with legal obligations (letter c), the legitimate interest (letter f) and, where required, the consent of the User (letter a). The processing operations, purposes and legal bases are described in detail in the Privacy Policy. This paragraph does not constitute the grant of any “license” over personal data, but identifies the legal basis for processing pursuant to the GDPR.

8.4. The User is responsible for the accuracy of the data entered into the App. The Provider does not verify or guarantee the accuracy of the User Data entered by the User.

8.5. The right to data portability under Article 20 of the GDPR is guaranteed to all Users, including those of the free plan and Users whose account has ceased. Pro plan Users have, as an additional convenience feature, a self-service export in CSV and PDF format directly in the App. Free plan Users may at any time exercise the same right by sending a request to support@yespend.com (see Articles 16.4 and 16.5).

8.6. Before registration, the App allows use in guest mode (Accountless Session) of the public price comparison and coupon aggregation features only, without the creation of an account. During that phase, the Provider does not process any account-related personal data (by way of example, name, email address or credentials) and does not store on its systems any User Data of a financial nature. Guest mode is associated with an Accountless Session to which are linked a technical session identifier, an identifier of the device used for security and abuse prevention purposes and the counters necessary for the management of the search quota. The categories of data processed in the guest phase, the relevant purposes and the retention periods are described in the Privacy Policy.

8.7. The processing of the technical data referred to in paragraph 8.6 is based on the Provider’s legitimate interest pursuant to Article 6(1)(f) of the GDPR, consisting in the provision of the free public service requested by the User, in ensuring the security and proper functioning of the Service and in the prevention of abuse and fraudulent uses, including the application of the search quota. The processing complies with the principle of data minimization under Article 5(1)(c) of the GDPR and is limited only to the technical data necessary for the aforementioned purposes. Any processing operations which, in the guest phase, require the data subject’s consent — in particular those connected to measurement tools and to the advertising identifiers referred to in Article 12 — are based on the consent collected pursuant to Article 12 and to the Privacy Policy, and not on the legitimate interest referred to in this paragraph.

8.8. Until the time of registration, a server-side control prevents by default (default-deny) the storage of User Data of a personal or financial nature: any attempt to save personal data in guest mode results in a request for registration and does not entail any writing of such data on the Provider’s systems. It follows that no account-related personal data is processed before registration.

8.9. At the time of registration, the Accountless Session is converted into the User’s account by linking or migrating only the technical identifiers of the session, so as to preserve the continuity of the experience; it remains understood that in the guest phase no User Data of a financial nature is stored server-side. As from registration, the processing of the User Data is governed by paragraphs 8.1-8.5 above and by the Privacy Policy, on the basis of the relevant legal bases provided for in Article 6 of the GDPR indicated in paragraph 8.3. The Guest User may exercise, within the limits of Article 11 of the GDPR and provided that they supply elements sufficient to identify the Accountless Session, the rights provided for in Articles 15-22 of the GDPR in relation to the technical data of the session, by sending a request to support@yespend.com, in accordance with the procedures indicated in the Privacy Policy.

Article 9 – Price comparison, coupons and disclaimer

9.1. The App and the Site offer a price comparison service that aggregates information from third-party online stores, including Amazon, eBay and AliExpress.

9.2. The prices, descriptions, availability and images of the products shown in the App and on the Site are provided by third-party sources and may not be updated in real time. The Provider does not guarantee the accuracy, completeness or timeliness of such information. In the event of errors, typos or misalignments, the price and conditions indicated by the third-party seller on its own website at the time of purchase shall prevail.

9.3. YeSpend is NOT a seller, a reseller, a marketplace or a commercial intermediary. The App and the Site merely display publicly available information for comparison purposes.

9.4. Any purchase made by the User takes place directly on the third-party seller’s website, and is subject to the terms and conditions of that seller. The Provider is not a party to any commercial transaction between the User and the third-party seller.

9.5. The Provider is not liable for disputes, defects, delivery delays, returns or any other problem relating to purchases made from third-party sellers, for matters not attributable to it. The mandatory consumer rights against the third-party seller and, within the limits set out in Article 13, the Provider’s liability for matters attributable to it remain unaffected.

9.6. Coupon disclaimer. The coupons, discount codes and promotions aggregated in the App and on the Site come from third-party sources (sellers, affiliate networks, aggregators) and are shown for informational purposes. Such coupons may be expired, exhausted, subject to conditions, territorial limitations, minimum spending thresholds or restrictions established by the issuing party. The Provider does not guarantee the validity, timeliness, applicability or functioning of the coupons and is not liable for any inability to use them, except in cases of willful misconduct or gross negligence and the mandatory consumer rights.

Article 10 – Affiliate links and commissions

10.1. The App and the Site contain affiliate links. When the User clicks on a price comparison or coupon link and proceeds to a purchase on the third-party seller’s website, the Provider may receive a commission from the seller or the affiliate network. With some price comparison partners (for example Kelkoo and Yadore), the Provider may receive a fee for the click on the link alone, even if the User makes no purchase.

10.2. The presence of affiliate links does not entail any additional cost for the User. The prices shown are the same prices available directly on the seller’s website.

10.3. Affiliate commissions contribute to the maintenance and development of the Service.

10.4. Transparency of the disclosure. The Provider undertakes to clearly, recognizably and contextually indicate, within the App and the Site, the presence of affiliate links (for example, by means of a dedicated indication or wording next to the relevant link), so that the User can easily recognize the promotional nature of the link before interacting with it. This commitment is undertaken in accordance with the rules on unfair commercial practices (Articles 21 and 22 of Legislative Decree no. 206/2005, implementing Directive 2005/29/EC) and with the guidelines of the AGCM (Italian Competition Authority) on affiliate advertising and marketing.

Article 11 – Bank connection and financial disclaimer

11.1. The App offers (or will offer in the future) the possibility of connecting bank accounts through Open Banking in accordance with the PSD2 Directive (Directive (EU) 2015/2366), using authorized third-party providers.

11.2. The bank connection operates exclusively in READ-ONLY mode. YeSpend can in no case make payments, transfers, withdrawals or any other dispositive operation on the User’s bank accounts.

11.3. YeSpend is NOT a financial institution, a bank, a financial advisor, a tax advisor or a financial intermediary. The Service is exclusively informational in nature and provides support for personal finance management.

11.4. The information, analyses and statistics provided by the App do NOT constitute financial, tax, legal or investment advice. The User must not base financial decisions exclusively on the information provided by the App.

11.5. The User is solely responsible for their own financial decisions. It is recommended to consult a qualified professional for financial, tax or investment advice.

Article 12 – Advertising and consent

12.1. In the Free plan, the App displays advertisements delivered through the Google AdMob platform and, where applicable, its advertising partners. The Pro plan is free of advertisements.

12.2. The delivery of advertisements and, where provided, of personalized advertising entails the use of identifiers and the processing of data through the User’s device. Such activities are carried out in compliance with the applicable legislation, in particular Article 122 of Legislative Decree no. 196/2003 (Privacy Code, implementing the ePrivacy Directive) and Articles 6 and 7 of the GDPR.

12.3. Consent and management of preferences. Where required by law, before the delivery of personalized advertisements the Provider collects the User’s consent through a compliant consent management platform (CMP), based on the Google User Messaging Platform (UMP) tool. On iOS devices, any tracking for advertising purposes is subject to the User’s authorization requested through Apple’s App Tracking Transparency (ATT) mechanism. The User may modify or revoke their preferences relating to consent and tracking at any time through the device settings and/or the privacy settings of the App.

12.4. For details on the purposes, the categories of data processed, the third parties involved, the legal bases and the methods of exercising rights in relation to advertising and profiling, reference is made to the Privacy Policy (https://yespendapp.com/privacy-policy/).

12.5. Advertisements may also be displayed in guest mode, in the absence of the Pro plan. The collection of consent through the consent management platform (CMP) and, where applicable on iOS devices, the authorization requested through App Tracking Transparency (ATT) are carried out independently of the registration of an account and apply, where relevant, also to the Guest User, before the delivery of personalized advertising or the related tracking and before the activation of measurement tools based on device identifiers. The legal bases of the processing and the methods of consent are described in the Privacy Policy.

Article 13 – Limitation of liability

13.1. With respect to the Consumer User, the Provider’s liability is governed by applicable law and by the mandatory rights provided by the Consumer Code and by the GDPR. In particular, no provision of these Terms limits or excludes the Provider’s liability for:
a) death or personal injury, or harm to the person, arising from a matter attributable to it;
b) willful misconduct or gross negligence;
c) breach of essential and characterizing obligations of the contract;
d) damages caused as a result of a breach of the legislation on the protection of personal data, including the compensable damage pursuant to Article 82 of the GDPR;
e) any other case in which the limitation or exclusion of liability is prohibited by applicable law or gives rise to a protective nullity pursuant to Articles 33 and 36 of the Consumer Code.

13.2. Legal guarantee of conformity of digital services. In any case, the legal guarantee of conformity of digital content and digital services pursuant to Articles 135-octies et seq. of the Consumer Code remains in favor of the Consumer User. The Provider is responsible, under the terms of the law, for the conformity of the Service to the contract and provides the updates necessary to maintain conformity.

13.3. Residual limitation for pecuniary damages from slight negligence only towards the consumer. Within the limits permitted by law and without prejudice to the cases set out in paragraphs 13.1 and 13.2, for pecuniary damages caused to the consumer by slight negligence only and relating to non-essential obligations, the Provider’s liability is limited to foreseeable and direct damages, typical of the contract. Such limitation never applies to the cases set out in paragraph 13.1 and does not prejudice the mandatory consumer rights.

13.4. Provisions applicable to non-consumer Users only (B2B). With respect to the non-consumer User, and within the limits permitted by law:
a) the Service is provided “as is” and “as available”, without any further warranties, express or implied, beyond what is provided by applicable law;
b) the Provider does not guarantee that the Service is uninterrupted, error-free, secure or free from viruses or other harmful components;
c) the Provider is not liable for indirect, incidental, special, consequential or punitive damages, for loss of data, profits or opportunities, for damages arising from reliance on the information provided by the App, from the interruption or malfunction of the Service, or caused by third parties (sellers, affiliate networks, banking institutions, suppliers), for matters not attributable to the Provider;
d) the Provider’s total liability towards the non-consumer User, on any basis whatsoever, may not exceed the total amount paid by such User for the Service in the 12 months preceding the event, or EUR 50,00, whichever amount is greater.
The exclusions and limitations set out in this paragraph 13.4 do not apply to cases of willful misconduct or gross negligence of the Provider.

13.5. The exclusion and limitation of liability clauses operate only for matters not attributable to the Provider and, in any case, the mandatory consumer rights pursuant to the Consumer Code, the protections provided by the GDPR and the Provider’s liability for willful misconduct or gross negligence remain unaffected.

Article 14 – Prohibited uses

14.1. The User undertakes not to:
a) Use the App for illegal, fraudulent or unauthorized purposes;
b) Carry out scraping, crawling or automated extraction of data from the App;
c) Decompile, disassemble, reverse engineer or attempt to obtain the source code of the App, except within the limits mandatorily permitted by law;
d) Modify, adapt, translate or create derivative works based on the App;
e) Remove, alter or obscure intellectual property notices present in the App;
f) Use bots, automated scripts or automatic means to interact with the App;
g) Attempt to access without authorization systems, servers or networks connected to the App;
h) Interfere with the functioning of the App or overload the infrastructure;
i) Resell, sublicense or redistribute access to the App or its content;
j) Impersonate other users or provide false information in the account;
k) Use the App for money laundering, terrorist financing or any other unlawful activity.

Article 15 – Suspension and termination of the account

15.1. The Provider may suspend or terminate the User’s account in the following cases:
a) Breach of these Terms;
b) Fraudulent or seriously suspicious activities, understood as conduct which, on the basis of concrete and objective evidence, reasonably leads to the belief that an unlawful act or abuse is in progress (by way of example: attempts at fraud, unauthorized access, creation of multiple accounts, manipulation of promotional mechanisms);
c) Request or order from competent authorities, or legal obligation;
d) Prolonged inactivity of the account (exceeding 24 months), subject to notice.

15.2. Notice and possibility to remedy. Except in cases of serious breach, fraud, prejudice to security or to the rights of third parties, or legal obligations requiring immediate intervention, the Provider communicates the objection to the User with reasonable prior notice and grants an appropriate term to remove the breach or submit observations, before suspension or termination. In cases of particular seriousness or urgency, the measure may be adopted with immediate effect, giving the User subsequent communication and reasons.

15.3. Refund. In the event of termination ordered by the Provider for causes not attributable to the User, or for non-serious breaches, the Pro User is entitled to a pro-rata refund of the portion of the subscription not enjoyed, in accordance with the store’s procedures where applicable. The refund is not due in the event of termination for serious breach of these Terms or for fraudulent activities attributable to the User. The mandatory consumer rights remain unaffected.

15.4. Termination of the Service by decision of the Provider. In the event of termination or definitive discontinuation of the Service by decision of the Provider (not due to breaches by the User), the Provider gives reasonable prior notice, grants an appropriate period to allow the User to export their data and recognizes to the Pro User the pro-rata refund of the portion of the subscription not enjoyed, in accordance with the store’s procedures where applicable.

Article 16 – Account deletion and GDPR rights

16.1. The User may at any time request the deletion of their account:
a) Through the dedicated function in the App settings;
b) By sending a written request to support@yespend.com.

16.2. The deletion of the account entails the deletion of the User Data from the Provider’s systems, in accordance with the right to erasure (right to be forgotten) under Article 17 of the GDPR. The deletion may not be immediate or complete where and to the extent that the exceptions provided for in Article 17(3) of the GDPR apply (for example, for compliance with a legal retention obligation, for the establishment, exercise or defense of a legal claim). Any data present in backup copies is deleted or rendered inaccessible according to the technical backup rotation cycles and in compliance with the security measures.

16.3. The Provider carries out the deletion within 30 days of the request, except for the retention obligations provided by law and the exceptions set out in paragraph 16.2.

16.4. Before proceeding with the deletion, the User is recommended to export their data, if necessary. The right to data portability (Article 20 GDPR) and the export remain guaranteed to the User even after the cessation of the account, upon request to support@yespend.com, within the limits of the data still processed.

16.5. The User may at any time exercise all the rights provided for in Articles 12-22 of the GDPR (in particular access, rectification, erasure, portability, restriction, objection) by sending a request to support@yespend.com. The Provider responds within the terms provided by Article 12 of the GDPR (as a rule within one month, extendable in the permitted cases). The User’s right to lodge a complaint with the Italian Data Protection Authority (Garante per la protezione dei dati personali) remains unaffected.

Article 17 – Changes to the Terms

17.1. The Provider may modify these Terms only where there is a justified reason, such as, by way of example: adaptation to supervening legal or regulatory provisions or to measures of authorities; adaptation to case law rulings; the introduction, modification or discontinuation of Service features; security or technical reasons; the change of suppliers, costs or economic conditions for the provision of the Service; the evolution of the service model. The justified reason is indicated in the modification communication.

17.2. The modifications are communicated to the User through a notification in the App and/or communication via email, with at least 30 days’ prior notice before they take effect (except for a shorter term imposed by law or by security reasons, or for modifications that are merely favorable to the User).

17.3. Modifications affecting onerous clauses or User rights. For modifications that introduce or aggravate onerous or unfair clauses, or that affect detrimentally the essential rights or obligations of the User, acceptance cannot be inferred from mere silence or from continued use of the App alone: the Provider collects a new active and specific acceptance from the User, as provided for in Article 22, before such modifications become effective with respect to them.

17.4. Rights of the Pro User in the event of detrimental modifications or price increases. In the event of a detrimental modification to the essential characteristics of the Service or of an increase in the subscription price, the Pro User may withdraw from the subscription before the modification takes effect and is entitled to a pro-rata refund of the portion of the subscription not enjoyed, in accordance with the store’s procedures where applicable. The right of withdrawal and the relevant methods are indicated in the modification communication.

17.5. For modifications that do not fall within paragraphs 17.3 and 17.4, the continued use of the App after the modifications take effect constitutes acceptance of the modified Terms; in any case, if the User does not accept the modifications, they may cease using the App and, if they wish, proceed with the deletion of their account, without further charges.

17.6. The previous Terms remain applicable to transactions and events occurring before the modifications take effect.

Article 18 – Language, communications and clauses relating to the stores

18.1. Language. The language of this contract and of the relations with the User is Italian. Any translations into other languages are provided merely as a courtesy; in the event of discrepancy or interpretative conflict, the Italian-language version shall prevail.

18.2. Force majeure. The Provider is not liable for the failure or delay in performance due to causes of force majeure or, in any case, to events beyond its reasonable control (by way of example: natural disasters, pandemics, conflicts, strikes, network or power interruptions, failures or malfunctions of cloud service providers, cyberattacks, measures of authorities). The mandatory consumer rights remain unaffected.

18.3. Relationship with the platform providers (Apple and Google). These Terms are concluded exclusively between the User and the Provider, and not with Apple Inc. or Google LLC (“Platform Providers”). The Platform Providers are not parties to these Terms and are not responsible for the App or its content. The Provider, and not the Platform Providers, is solely responsible for the App and for the support relating to it, within the limits provided by these Terms and by applicable law.

18.4. Apple clause. Limited to the App distributed through the Apple App Store: (a) Apple Inc. and its subsidiaries are third-party beneficiaries of these Terms and, upon the User’s acceptance, have the right to enforce them against the User as third-party beneficiaries; (b) in the absence of a specific end user license agreement (EULA), the use of the App is governed by the standard licensed application end user license agreement (“Apple Licensed Application End User License Agreement”), available in Apple’s terms, which applies to the extent not derogated by these Terms and by applicable law; (c) any complaints relating to conformity defects of the App may be addressed by the User to the Provider, without prejudice to the mandatory consumer rights and to the provisions of Apple’s policies.

18.5. Distribution through Google Play. Limited to the App distributed through the Google Play Store, use is also subject to the Google Play terms of service and the relevant policies, to the extent applicable and without prejudice to the provisions of these Terms.

18.6. Store subscription terms. The conditions of purchase, charging, renewal, withdrawal and refund managed by the store are also subject to the subscription and service terms of Apple or Google, to which reference is made for matters not governed by these Terms.

Article 19 – Applicable law, dispute resolution and competent jurisdiction

19.1. These Terms are governed by Italian law, without prejudice to the application of the more favorable mandatory provisions provided by the law of the country of habitual residence of the Consumer User.

19.2. Consumer’s forum. For any dispute arising from these Terms or from the use of the Service, with respect to the Consumer User the court of the place of residence or domicile of the consumer has exclusive jurisdiction, pursuant to Article 66-bis of the Consumer Code. For the Consumer User residing in another Member State of the European Union, the mandatory jurisdictions provided by Regulation (EU) 1215/2012 (in particular Article 18) and by the remaining European legislation remain applicable.

19.3. Alternative dispute resolution (ADR). The Consumer User has the option of resorting to the alternative dispute resolution (ADR) procedures provided for in Articles 141 et seq. of the Consumer Code, by contacting one of the ADR bodies registered in the list kept by the competent authorities (including, where competent, the mediation and conciliation bodies at the Chambers of Commerce). Recourse to ADR is optional and does not prejudice the User’s right to bring proceedings before the judicial authority. The Provider provides, upon the User’s request to support@yespend.com, the information on the competent ADR bodies.

19.4. Forum for non-consumer Users only. For disputes with non-consumer Users (B2B), the court of Pescara has exclusive jurisdiction. This clause does not apply to the Consumer User, with respect to whom the mandatory forum set out in paragraph 19.2 remains in place.

Article 20 – Severability clause

20.1. If one or more provisions of these Terms are declared null, invalid or unenforceable by a competent authority, the remaining provisions will remain fully valid and binding.

20.2. The null or invalid provision will be replaced by a valid provision that comes as close as possible to the original economic and legal intent, in compliance with the mandatory rights of the Consumer User.

Article 21 – Miscellaneous provisions

21.1. The failure to apply or the delay in applying any provision of these Terms by the Provider will not constitute a waiver of the right to apply it in the future.

21.2. These Terms, together with the Privacy Policy, constitute the entire agreement between the User and the Provider in relation to the use of the Service.

21.3. The User may not assign their rights or obligations arising from these Terms without the written consent of the Provider. The Provider may assign the contract or the individual relationships to third parties in the context of corporate operations or of the transfer of a business or business branch, giving notice to the User and without prejudice to the consumer’s right to withdraw should the assignment prejudice their rights.

Article 22 – Specific approval of the clauses pursuant to Articles 1341-1342 of the Civil Code

22.1. Pursuant to and for the effects of Articles 1341 and 1342 of the Civil Code, the User, having carefully read them, specifically and in writing approves the following clauses of these Terms, insofar as they are possibly onerous or restrictive:

  • Article 2 (Account registration and responsibility), paragraphs 2.4 and 2.5, regarding liability for credentials and the prohibition of multiple accounts;
  • Article 3, paragraph 3.3, and Article 4, paragraph 4.3, regarding the modification, suspension or discontinuation of the Service features;
  • Article 5, paragraph 5.5, regarding the modification of prices;
  • Article 6, paragraphs 6.3 and 6.6, regarding the non-refund of the period in progress and the loss of the right of withdrawal for the digital service performed immediately with express consent;
  • Article 7, paragraph 7.3, regarding the limited and revocable license of use;
  • Article 8, paragraph 8.4, regarding the User’s exclusive responsibility for the accuracy of the data entered and the absence of verification or guarantee by the Provider;
  • Article 9, paragraphs 9.2, 9.5 and 9.6, regarding the exclusions of warranty and liability relating to price comparison and coupons;
  • Article 11, paragraphs 11.3, 11.4 and 11.5, regarding the financial disclaimer (non-financial nature of the Service and read-only mode of the bank connection), the exclusion of the value of financial, tax, legal or investment advice of the information provided and the User’s exclusive responsibility for their own financial decisions;
  • Article 12, paragraphs 12.2 and 12.3, regarding the processing of identifiers for advertising purposes and the subjection of the delivery of personalized advertisements to the User’s consent (for the aspects possibly onerous on the Free plan User);
  • Article 13 (Limitation of liability), paragraphs 13.3 and 13.4, regarding the limitation of liability (the latter for non-consumer Users only);
  • Article 14 (Prohibited uses);
  • Article 15 (Suspension and termination of the account), paragraphs 15.1, 15.2 and 15.3;
  • Article 17 (Changes to the Terms), paragraphs 17.1, 17.2, 17.3 and 17.5;
  • Article 18, paragraphs 18.1 (prevailing Italian language), 18.2 (force majeure), 18.3 and 18.4 (relationship with the Platform Providers and Apple clause as third-party beneficiary), 18.6 (reference to the store subscription terms for withdrawal and refund);
  • Article 19 (Applicable law and competent jurisdiction), paragraph 19.4 (court of Pescara for non-consumer Users only);
  • Article 21, paragraph 21.3, regarding the prohibition of assignment by the User and the Provider’s right of assignment.

22.2. The specific approval of the clauses listed above is collected in-app, during registration and/or subscription, by means of a dedicated checkbox (acceptance box) separate from the general acceptance checkbox of these Terms. For the User who has used the App in guest mode pursuant to Article 2-bis, both acceptances referred to in this paragraph are collected at the time of registration, coinciding with the first attempt to save personal data; until that time, none of the clauses listed in paragraph 22.1 produces binding effects with respect to them. The acceptance flow therefore provides for two distinct confirmations: (i) the full acceptance of the Terms and of the Privacy Policy; (ii) the specific approval of the clauses set out in paragraph 22.1. The Provider records and stores, with indication of the date and time, the completion of both acceptances.

22.3. In any case, the mandatory rights of the Consumer User provided by the Consumer Code and by the applicable legislation, as well as the protections provided by the GDPR, remain unaffected: no clause of these Terms, even if specifically approved, may be interpreted or applied in derogation of such mandatory rights.
